By accessing and using VertexElite's website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
VertexElite provides software development services including but not limited to:
Each project begins with a detailed scope of work agreement that outlines deliverables, timeline, and costs. Changes to the scope may result in additional fees and timeline adjustments.
Clients agree to:
Project pricing is determined based on scope, complexity, and timeline. All prices are in USD unless otherwise specified.
Late payments may incur a fee of 1.5% per month. Work may be suspended for accounts more than 30 days past due.
Upon full payment, clients receive ownership of the custom code developed specifically for their project.
We retain ownership of:
Projects may include open-source libraries subject to their respective licenses.
Both parties agree to maintain confidentiality of proprietary information shared during the engagement. This obligation survives termination of the agreement.
We warrant that services will be performed in a professional manner consistent with industry standards.
Services are provided "as is" without warranties of any kind, express or implied. We do not guarantee that software will be error-free or uninterrupted.
Post-launch support is provided as specified in the project agreement. Extended support and maintenance packages are available separately.
VertexElite's total liability shall not exceed the amount paid by the client for the specific service. We are not liable for indirect, incidental, or consequential damages.
Client agrees to indemnify VertexElite against claims arising from client-provided content or client's use of deliverables in violation of law.
Either party may terminate the agreement with 30 days written notice. Client remains responsible for payment for work completed. All delivered work and code remain property of VertexElite until full payment is received.
Disputes shall first be attempted to be resolved through good-faith negotiation. If unsuccessful, disputes shall be resolved through binding arbitration in Texas, USA.
These terms are governed by the laws of the State of Texas, USA, without regard to conflict of law provisions.
We reserve the right to modify these terms at any time. Continued use of our services constitutes acceptance of modified terms.
